    KeyBanc analyst Todd Fowler said, “We downgrade WERN from Buy to HOLD following its negative 3Q pre-ann’ct, which reflected a number of company-specific issues that we expect to limit upside going forward; we would focus investors on other, stronger-performing names within the truckload space, specifically, BUY-rated Swift Transportation Company (SWFT), Marten Transport Ltd. (MRTN), and Knight Transportation Inc. (KNX).”

    Werner Enterprises shares were down $1.66, or 6.80%, during pre-market trading on Tuesday. The stock is up 12.64% year-to-date.

Technology Platform

The Company�� ETM technology platform allows it to analyze its clients' transportation requirements and provide customized shipping recommendations. It collects and store pricing and market capacity data in its ETM database from each interaction with carriers, and its database expands as a result of these interactions. It has also developed data acquisition tools, which retrieve information from both private and public transportation databases, including subscription-based sources and public transportation rate boards, and incorporate that information into the ETM database. Its clients communicate their transportation needs to it electronically through its EchoTrak web portal, other computer protocols, or by phone. ETM generates pricing and carrier information for its clients by accessing pre-negotiated rates with preferred carriers or using present or historical pricing and capacity information contained in its database. If a client enters its own shipment, ETM automatically alerts the appropriate account executive. After the carrier is selected, either by it or the client, its account executives use its ETM technology platform to manage all aspects of the shipping process.

The Company�� FastLane is an Internet-based Web portal, which allows its carriers! to view ! shipments available for tender, update equipment availability and preferred lanes, check on the status of all unpaid invoices, unbilled shipments, shipments in transit and other information used to resolve any billing discrepancies. There is also a mobile FastLane application, which allows carriers to view similar information remotely. eConnect is a set of tools, which allows the Company�� clients and carriers to interact directly with ETM electronically through any of several computer protocols, including EDI, extensible markup language (XML) and file transfer protocol (FTP). The eConnect tools serve as an electronic bridge between the other elements of its ETM technology platform and its clients' enterprise resource planning (ERP), billing, accounts receivable, accounts payable, order management, back office and e-commerce systems. Through eConnect, its clients are able to request shipping services and receive financial and tracking data using their existing systems.

EchoTrak is an Internet-based Web portal, which connects and integrates its clients with ETM. By entering a username and password, its clients are able to enter orders, display historical and active shipments in the ETM system using configurable data entry screens sorted by carrier, price, delivery date, destination and other relevant specifications. EchoTrak also generates automatic alerts to ensure that shipments are moving in accordance with the client specifications and timeline. There is also a mobile EchoTrak application, which allows customers to perform similar functions remotely. RateIQ2.0 is a pricing engine, which manages LTL tariffs and generates rate quotes and transit times for LTL shipments. RateIQ2.0 also provides integrated tools to manage dispatch, communications, data collection and management functions relating to LTL shipments. LaneIQ is a pricing engine, which generates rate quotes for TL shipments. LaneIQ also provides integrated tools to manage dispatch, communications, headhaul and backhaul data col! lection a! nd management functions relating to TL shipments. EchoPak is a small parcel pricing and audit engine. For each small parcel shipped, EchoPak audits carrier compliance with on-time delivery requirements and pricing tariffs. In addition, EchoPak tracks information for each parcel and is able to aggregate and analyze that data for clients. For instance, clients are able to view shipments by date, business unit, product line and location, and clients can access information regarding service levels and pricing.

The Company�� Shipment Tracking stores shipment information en-route and after final delivery. The shipment data is acquired through its carrier EDI integration, allowing its clients to track the location and status of all shipments on one screen, regardless of mode or carrier. Final delivery information is permanently archived, allowing it to provide its clients with carrier performance reporting by comparing actual delivery times with the published transit time standards.

Document Imaging allows the Company to store digital images of all shipping documents, including bills of lading and delivery receipts. CAS (Cost Allocation System) automatically audits carrier invoices against its rating engine and accounts payable accrual system. If the amounts match, the invoice is automatically released for payment. If the amounts do not match, the invoice is sent to various administrative personnel for manual processing and resolution. CAS also integrates to its general ledger, accounts receivable and accounts payable systems. Accounting includes its general ledger, accounts receivable and accounts payable functions. Accounting is integrated with CAS and EchoIQ. EchoIQ stores internally and externally generated data to support its reporting and analytic functions and integrate all of its core applications with ETM. ETM supports its logistics services, which it provides to its clients as part of its value proposition. Its ETM technology platform is able to track individual shipments ! and provi! de customized data and reports throughout the lifecycle of the shipment, allowing it to manage the entire shipping process for its clients. Marten Transport, Ltd. is a temperature-sensitive truckload carrier. The Company specializes in transporting and distributing food and other consumer packaged goods that require a temperature-controlled or insulated environment. It operates throughout the United States and in parts of Canada and Mexico. The Company operates in two segments: Truckload and Logistics. During the year ended December 31, 2011, approximately 81% of its truckload revenue resulted from hauling temperature-sensitive products and 19% from hauling dry freight. Canadian National Railway Company (CN), incorporated on August 24, 1995, is engaged in the rail and related transportation business. Intermodal

The proposed sale of stock will be for up to $3.06 billion if the full number of shares (including the overallotment option) are sold.

If the IPO market holds up and if the pricing comes at the indicated levels, the U.S. Treasury will have turned a profit. The U.S. Treasury is offering 95,000,000 shares of common stock in this offering, currently pegged between $25.00 and $28.00 per share. Ally’s last amended filing used 481,500,794 shares outstanding for calculation purposes.

Ally was bailed out for roughly $17 billion, and taxpayers have already recovered over $15 billion prior to the IPO. This new $3 billion or so will put the Treasury in the black on the bailout.

All pondering and historic bias aside, the real question is simple to ask but may not be a simple answer – As of now, would you be willing to buy Ally shares at the current terms?

For starters, the Treasury’s pre-IPO stake is almost 37%, but after the IPO it will be about 14% if all shares are sold in the offering.

Ally originally filed in early 2011 to come public, but market conditions got in the way. Now it looks as though the offering is going to make it, so long as market conditions allow it.

The underwriting group is massive. Ally’s joint global coordinators and joint book-running managers are Citigroup, Goldman Sachs, Morgan Stanley and Barclays. Its joint book-running managers are listed as BofA Merrill Lynch, Deutsche Bank Securities, and J.P. Morgan. The list of co-managers seems to include almost every firm you can think of: Sandler O'Neill, Keefe Bruyette & Woods, Credit Suisse, Stifel, and literally ten other firms.

Outside of the U.S. Treasury, activist Dan Loeb owns a 9.5% stake via his Third Point LLC. Affiliates of private equity firm Cerberus Capital Management own another 8.6% stake. Both Third Point and Cerberus are not selling in the offering.

Ally is one of the largest standalone auto finance houses operating with its Dealer Financial Services, for both wholesale and retail. It counts itself as the 19th largest U.S. bank holding company based on total assets. The company’s SEC filing shows that its assets were $151.2 billion of total assets and $52.9 billion of bank deposits as of December 31, 2013. At December 31, 2013, Ally had a Tier 1 capital ratio of 11.8% and a Tier 1 common ratio of 8.8%.

Hot Retail Stocks To Own Right Now

Although we don't believe in timing the market or panicking over market movements, we do like to keep an eye on big changes -- just in case they're material to our investing thesis.

What: Sears Holdings (NASDAQ: SHLD  ) shares were getting sheared today, falling as much 18% after a dismal quarterly earnings report.

So what: The struggling retaile posted an adjusted first-quarter loss of $1.29 a share, a full $0.60 worse than analysts had expected. Revenue also fell 9% to $8.45 billion, though that slightly beat Wall Street expectations of $8.37 billion. Same-stores sales were down 3.6%.

Now what: The only question I have about Sears is why shares were so high to begin with. The chain has been grossly mismanaged by Eddie Lampert, who's chosen to run it as an financial asset rather than a retail business, and is one of many retailers that is getting squeezed by the vice grip of Amazon.com,�Wal-Mart, and other industry giants. Sears is a dying brand, and the stock can only fall so far behind the company.

If it's true, the company is coming fairly late to a stuffed segment. But grabbing market share -- and even making a buck on the device -- might not be its top motivation for wading into this fray. A Razor-and-Blades Strategy For the past few years -- ever since it launched its first Kindle -- Amazon has been willing to sacrifice making a profit on its tablets in order to push its digital content, a growing library of TV shows, feature films, video games and other material. It sells the current Kindle HD iterations at cost (starting at $139 for the standard HD, and going to $229 for the 7-inch-display HDX version and $379 for the 8.9-inch HDX). Since Kindles are packed with software that guides users to the retailer's offerings -- most compatibly, those TV shows and movies, which users can rent or buy, but also the company's online catalog of physical goods -- the business strategy is a variation on the classic razor-and-blades model. In other words, the company sells the razor (the Kindle) relatively cheaply, in the hopes of producing a long-tail revenue stream with the blades (the digital content). Amazon doesn't break out detailed numbers for revenue derived from Kindle user activity, so it's hard to gauge how effective the strategy has been. But the company is selling a lot of digital media. According to research conducted by investment bank Morgan Stanley (MS) last year, Amazon stood to take in around $3.8 billion worth of digital media sales in 2013. Walgreen recorded an $8 million "last-in-first-out" inventory benefit in this year's quarter, compared with a $132 million charge last year. LIFO is a method of accounting for inventory that assumes a company sells its newest inventory first. The company takes a credit or charge each quarter according to the anticipated inflation rate for the year. The company attributed the big swing to lower-than-anticipated prescription drug inventory ahead of a transition it made to AmerisourceBergen Corp. (ABC). Walgreen had announced earlier this year that it and Alliance Boots were buying an ownership stake in drug distributor AmerisourceBergen Corp. Walgreen also entered into a supply agreement with AmerisourceBergen for its drugstores, mail order and specialty pharmacy businesses. Last year, Walgreen acquired a 45 percent stake in Swiss-based Alliance Boots for about $4 billion in cash plus 83.4 million Walgreen shares. The favorable momentum is going to linger: Select Comfort is boosting its guidance for the entire year. Six Flags (SIX) -- Up 16 percent last week It was a summer of thrills at Six Flags. Shares of the regional amusement park operator rose like a coaster on a chain lift after it announced better-than-expected revenue growth. Revenue increased 7 percent on a combination of a slight uptick in attendance, higher admission prices, and guests spending more once inside the park. The report was encouraging enough for Six Flags to boost its dividend. The stock is now yielding a hearty 5.3 percent. Boulder Brands (BDBD) -- Down 31 percent last week Shares of Boulder Brands lost nearly a third of their value after the food company behind Smart Balance buttery spreads and EVOL frozen entrees warned of a soft holiday quarter.     Lumber Liquidators (LL) found it a lot harder to liquidate its lumber during the second quarter–and its weakness is hitting shares of Home Depot (HD) and Lowe’s (LOW) today as well.

    The reason: Lumber Liquidators said that second quarter earnings would come in between 59 cents and 61 cents a share, well below forecasts for 90 cents, as same-store sales fell 7.1%.

    Raymond James’ Budd Bugatch and team are “waiting for the dust to settle” at Lumber Liquidators:

    We felt like management spent its call trying to rationalize reasons for the weaker than expected results. After all, on its 1Q call, management exuded confidence that 1Q�� results were totally weather related and that early order indications heading into the April sale gave it belief that consumers were ready to get back to work on delayed projects. As such, it left FY14 guidance intact. Now, management hypothesizes that the strong early 2Q orders and sales were, in fact, pent-up demand; but that the purchase cycle was interrupted by the bad weather. We are not convinced. While we are very respectful of the Lumber Liquidators business model (excellent operating and capital returns); it is a big-ticket business with attendant volatility. Management noted that the difference in 2Q sales between stores weather-affected (131) and those not (206) was ��1 transaction per store every other day.��So, despite the attraction of the model, there are times when results can and will be different than expected, making it a challenging public equity. To us, this reinforces our value bias to buying and owning Lumber Liquidators…

    This week, Defense Secretary Chuck Hagel proposed a defense budget that would reduce the US Army to its smallest force since before World War II. And we were woefully under-prepared for that war.

    The proposals will face powerful resistance from members of Congress, veterans��organizations, arms manufacturers and more. Complete details of the proposed federal budget are to be released next week.

    The timing is unfortunate. For example, consider this headline from last night: “Russia says it will respect the ‘territorial integrity’ of Ukraine.” Maybe. But such statements are meaningless.

    Amid considerable other global unrest these days, reducing our spending on defense seems imprudent. However, various constraints that have built up over time require it, or reductions elsewhere.

    Fifty years ago, the military made up nearly half of government spending. Now it’s about 17 percent. Entitlements were one-third of the budget then. Now they’re approaching two-thirds. “This is a time for reality,” Hagel said.

    Under the new approach, the emphasis is to shift from the longstanding goal of being able to fight two wars simultaneously, such as in Europe and Asia; and toward such threats as cyber warfare and terrorism.

    For instance, the size of the active-duty military would decline by 13 percent and the reserves by 5 percent in coming years. But Special Operations forces would grow by 6 percent.

    Inevitably, this would mean increased risk in the event of a second crisis. ��ou have fewer troops, fewer ships, fewer planes,��Hagel said.� ��eadiness is not the same standard. Of course there�� going to be risk.��br>

    Virginia-based ammo and munitions maker�ATK� (NYSE: ATK  ) �is buying itself a new gunmaker.

    ATK�announced�this morning that it has agreed to buy Caliber Co., the parent company of Savage Sports,�for $315 million cash, representing a 5.5 multiple of its trailing-12-month EBITDA. Savage is one of the world's largest manufacturers of hunting rifles and shotguns and has been in business for more than 100 years.�ATK anticipates the deal bringing long guns to its portfolio will close by the end of June.

    In this series, I examine inventory using a simple rule of thumb: Inventory increases ought to roughly parallel revenue increases. If inventory bloats more quickly than sales grow, this might be a sign that expected sales haven't materialized. Is the current inventory situation at Alliant Techsystems (NYSE: ATK  ) out of line? To figure that out, start by comparing the company's inventory growth to sales growth. How is Alliant Techsystems doing by this quick checkup? At first glance, not so great. Trailing-12-month revenue decreased 5.4%, and inventory increased 21.9%. Comparing the latest quarter to the prior-year quarter, the story looks potentially problematic. Revenue dropped 12.0%, and inventory grew 21.9%. Over the sequential quarterly period, the trend looks healthy. Revenue grew 9.2%, and inventory grew 3.9%.
